Valuation Credentials:
William Mason

Valuing a business requires a broad scope of technical and business
experience. We apply sound appraisal techniques and a thorough
understanding of corporate finance and today’s tax laws to give a
valuation tailored to your business and situation as well as
providing litigation support whenever necessary.
Our valuation
team is headed by William
Mason II, CPA/ABV, ASA and Chris Hayes,
CPA/ABV, ASA, CVA. Our team is
the
largest, most experienced business valuation and litigation support
team in Oregon outside of the Portland area. Having two Accredited
Senior Appraisers (ASA) on our team as well as being Certified
Valuation Analysts (CVA), Certified Public Accountants (CPA), and
Accredited in Business Valuation (ABV) by the American Institute of
CPAs gives us a unique depth and breadth of experience in business
valuation concepts.
Our litigation support experience includes analysis and preparation
of damage calculations, supporting documentation, and counter
argument preparation. We also have provided expert witness
testimony in both state and Federal District Courts.
We have experience
in valuing
all business entity types (Corporations, general and limited
partnerships, LLCs, and proprietorships) operating in most
industries in the following situations.
-
Acquisition or Sale – Determine a fair
transaction price from either perspective.
-
Buy/Sell Agreements – Ensure the agreement
reflects the current value.
-
Divorce
- Determine the value of an interest in a closely-held business.
- Employee
Benefits – Value employer securities in an Employee Stock Option
Plan (ESOP).
- Exit Strategy
– Develop goals to increase future value and transfer ownership.
-
Gift
& Estate Tax Planning - Minimize the bite taxes take from
your estate.
- Financing –
Satisfy potential lenders or venture capitalists.
-
Additional
Situations – Bankruptcy, eminent domain, compensatory damage
cases, and partnership/shareholder disputes.
We can provide services in connection with performing valuations for
SFAS 141, 142, and 144 to address business combinations, purchase
price allocations, intangible asset impairment, and goodwill.
Types of Reports
Our valuation team
provides various types of reports, each with increasing detail. We
work with clients to determine the report most appropriate for the
situation.
A Summary Valuation report provides detail that owners with buy-sell
agreements or courts often require. A Comprehensive Valuation
report is a very detailed analysis and opinion of the business’
value as required for ESOPs, estate tax, or gift tax. A limited
narrative report also can be provided. Our analysis, regardless of
the level of report, is always comprehensive.
A Management
Tool
A business
valuation can help you develop a new management perspective. Value
is much more than revenue and profit. A business could be very
profitable but not be as valuable as it has the potential to be.
Some of the drivers of your business’ value include capital
structure, management depth, and elements of transferability. Are
you managing these areas as effectively as possible?
When you understand what drives the value of your business, you are
better able to focus your efforts to increase its future worth. Our
team can help you define what you can do today to increase value
down the road. You’ll be surprised by how much a good business
valuation can tell you!
